Terms of Use

1.1 These Terms of Use ("Agreement") constitute a legally binding contract between any person or entity accessing or using this Application ("User" or "you") and iXzel Management Group, LLC ("Developer," "we," "us," or "our"), a company organized and operating under the laws of the State of New York.

1.2 This Agreement governs all access to and use of TradeSkills-AI, an AI-powered training and workforce skills development platform designed for trade professionals, contractors, and skilled-labor organizations seeking to develop, document, and certify workforce competencies (the "Application").

1.3 The Application is hosted and deployed through Base44 platform infrastructure. Use of any underlying Base44 platform services is additionally subject to Base44's own terms of service.

1.4 This Agreement applies to all versions, updates, enhancements, and modifications of the Application, whether accessed via web browser, mobile device, API, or any other means.

2.1 You must be at least eighteen (18) years of age to use this Application. By using the Application, you represent and warrant that you meet this age requirement.

2.2 If this Application is being accessed on behalf of an organization, business, or other legal entity, the person accepting this Agreement represents and warrants that they have the authority to bind that entity to these terms.

2.3 The Application is intended for lawful business and personal productivity use only. Use by any person or entity subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC) or any applicable regulatory body is strictly prohibited.

3.1 TradeSkills-AI is an AI-powered training and workforce skills development platform designed for trade professionals, contractors, and skilled-labor organizations seeking to develop, document, and certify workforce competencies.

3.2 The Application incorporates artificial intelligence and machine learning technologies to generate recommendations, content, analyses, workflows, and other AI-assisted outputs.

3.3 iXzel Management Group, LLC reserves the right to modify, update, enhance, or discontinue the Application or any feature thereof at any time, with or without prior notice.

3.4 Access to certain features may require a paid subscription. Free-tier features, if any, are provided at the Developer's sole discretion and may be withdrawn at any time.

4.1 Certain features of the Application require account registration. All registration information must be accurate, current, and complete, and must be maintained as such throughout the term of use.

4.2 Account credentials are personal and non-transferable. The account holder is solely responsible for all activities conducted under the account and for maintaining the confidentiality of login credentials.

4.3 Any suspected unauthorized access to an account must be reported immediately to legal@ixzelgroup.com.

4.4 iXzel Management Group, LLC reserves the right to suspend or terminate any account that violates this Agreement, engages in fraudulent activity, or poses a security risk to the Application or other users.

5.1 Paid subscription plans, pricing, and billing cycles are described within the Application and are subject to change upon reasonable notice.

5.2 All fees are quoted in United States Dollars (USD) and are exclusive of applicable taxes unless otherwise stated. The subscriber is responsible for all applicable federal, state, and local taxes.

5.3 Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). By providing payment information, authorization is granted to charge the applicable fees to the designated payment method on each renewal date.

5.4 Subscriptions renew automatically unless cancelled at least twenty-four (24) hours prior to the renewal date. Cancellation instructions are available within the Application's account settings.

5.5 All fees paid are non-refundable except as expressly required by applicable law or in cases of documented technical failures attributable solely to the Developer.

6.1 The Application may be used only for lawful purposes and in a manner consistent with all applicable local, state, federal, and international laws.

6.2 The following uses are expressly prohibited:

(a) Uploading, transmitting, or distributing any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable;

(b) Attempting to gain unauthorized access to any portion of the Application or its related systems, networks, or servers;

(c) Using automated scripts, bots, scrapers, or other automated means to access or interact with the Application without express written permission;

(d) Reverse engineering, decompiling, disassembling, or attempting to derive the source code or underlying algorithms of the Application;

(e) Reselling, sublicensing, or commercially exploiting the Application or content derived from it without express written authorization;

(f) Introducing viruses, malware, ransomware, spyware, or any other harmful or malicious code into the Application or connected systems;

(g) Using the Application in any manner that could damage, overburden, impair, or disable servers or networks connected to the Application;

(h) Generating, distributing, or promoting content that infringes upon the intellectual property rights of any third party.

6.3 iXzel Management Group, LLC reserves the right to investigate and take appropriate legal action against any violation of this Acceptable Use Policy, including reporting such conduct to law enforcement authorities.

7.1 The Application and all content, features, functionality, software, code, designs, graphics, logos, and the selection and arrangement thereof are the exclusive property of iXzel Management Group, LLC and its licensors, protected by United States and international intellectual property laws.

7.2 Subject to compliance with this Agreement, iXzel Management Group, LLC grants a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application solely for personal or internal business purposes.

7.3 All content uploaded or submitted to the Application ("Submitted Content") remains the property of the submitting party. By submitting content, a worldwide, non-exclusive, royalty-free license is granted to the Developer to use, store, process, and display such content solely as necessary to provide and improve the Application.

7.4 The submitting party represents and warrants ownership of or sufficient rights to all Submitted Content, and that such content does not infringe any third-party intellectual property rights.

7.5 The iXzel Management Group, LLC name, logo, and the TradeSkills-AI name are trademarks or service marks of iXzel Management Group, LLC. Nothing in this Agreement grants any right to use these marks without prior written consent.

8.1 The Application incorporates artificial intelligence technologies that generate recommendations, content, analyses, and other outputs ("AI-Generated Content"). AI-Generated Content is inherently probabilistic and may contain errors, inaccuracies, or omissions.

8.2 AI-Generated Content does not constitute professional advice of any kind, including but not limited to legal, financial, medical, psychological, or educational advice. All AI-Generated Content should be independently verified before being relied upon for any important decisions.

8.3 iXzel Management Group, LLC makes no warranty, express or implied, regarding the accuracy, completeness, reliability, or fitness for any particular purpose of AI-Generated Content.

8.4 iXzel Management Group, LLC shall not be liable for any decisions, actions, or outcomes arising from reliance on AI-Generated Content.

9.1 The collection, use, storage, and disclosure of personal information is governed by the TradeSkills-AI Privacy Statement, which is incorporated into this Agreement by reference.

9.2 By using the Application, you consent to the data practices described in the Privacy Statement.

10.1 The Application may integrate with or contain links to third-party websites, services, or platforms ("Third-Party Services"). These are governed by their own terms of service and privacy policies.

10.2 iXzel Management Group, LLC does not endorse, control, or assume responsibility for any Third-Party Services. Use of any Third-Party Service is at the user's own risk.

10.3 iXzel Management Group, LLC shall not be liable for any loss or damage arising from use of or reliance on any Third-Party Service.

13.1 Each user agrees to defend, indemnify, and hold harmless iXzel Management Group, LLC, its members, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and fees (including reasonable attorneys' fees) arising out of or relating to:

(a) Violation of this Agreement;

(b) Submitted Content;

(c) Use of the Application;

(d) Violation of any applicable law or regulation; or

(e) Infringement of any rights of a third party.

13.2 iXzel Management Group, LLC reserves the right to assume exclusive defense and control of any matter subject to indemnification at the indemnifying party's expense.

14.2 Any dispute, claim, or controversy arising out of or relating to this Agreement or the Application shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Judgment on any award may be entered in any court of competent jurisdiction in the State of New York.

14.3 ALL PARTIES WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION OR CLASS-WIDE ARBITRATION.

14.4 Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15.1 This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

15.2 For any matters not subject to arbitration, each party consents to the exclusive personal jurisdiction and venue of the state and federal courts located in the State of New York.

16.1 iXzel Management Group, LLC may terminate or suspend access to the Application immediately and without prior notice or liability for any reason, including breach of this Agreement.

16.2 An account may be terminated at any time by following the account cancellation procedures within the Application.

16.3 Upon termination, all licenses granted under this Agreement will immediately cease. Sections 7, 8, 11, 12, 13, 14, 15, and 17 shall survive any termination of this Agreement.

17.1 iXzel Management Group, LLC reserves the right to modify this Agreement at any time. Material changes will be communicated via email or prominent in-Application notice at least thirty (30) days prior to the effective date of the change.

17.2 Continued use of the Application following the effective date of any modification constitutes acceptance of the modified Agreement.

17.3 If you do not agree to any modification, you must discontinue use of the Application and, if applicable, cancel your subscription.

18.1 Entire Agreement: This Agreement, together with the Privacy Statement and any applicable subscription order forms, constitutes the entire agreement regarding TradeSkills-AI.

18.2 Severability: If any provision is found unenforceable, it shall be modified to the minimum extent necessary, and remaining provisions shall continue in full force.

18.3 Waiver: No waiver of any term shall be deemed a continuing waiver of that term or any other term.

18.4 Assignment: Rights and obligations under this Agreement may not be assigned without iXzel Management Group, LLC's prior written consent. iXzel Management Group, LLC may freely assign its rights and obligations.

18.5 Force Majeure: The Developer shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control.
